Terms of Service

These Terms of Service ("Terms") govern your use of the website and the software and services provided by Corvex Technologies ("Corvex", "we", "us"), Kanpur, Uttar Pradesh, India. By using our website or Services, you agree to these Terms.

1. The Services

Corvex builds and provides modular school management and ERP software, delivered over the cloud or installed on a customer's own server, along with related setup, training and support. Specific scope, pricing and timelines for any engagement are set out in a separate written quotation or agreement.

2. Accounts and access

Access to the software is via accounts we issue. You are responsible for keeping login credentials confidential and for activity under your accounts. Misuse may result in suspension of access.

3. Fees and payment

• Charges (one-time setup/onboarding and recurring subscription or annual maintenance) are as stated in your quotation or agreement, and are exclusive of applicable taxes (e.g. GST).
• An advance may be required before onboarding begins.
• For cloud hosting, the recurring fee includes the hosting we operate on your behalf.

4. Acceptable use

You agree not to misuse the Services — including attempting to breach security, reverse-engineer the software, or use it unlawfully or to infringe others' rights.

5. Data and ownership

You (the institution) own the data you enter into the Services, and you can export it. Corvex owns all intellectual property in the software, designs and documentation. We handle your data as described in our Privacy Policy.

6. Availability and support

We aim for high availability and provide support per your agreement, but the Services are provided on a best-effort basis and may have occasional maintenance or downtime. For on-premise installations, backups and local infrastructure are the customer's responsibility unless agreed otherwise.

7. Disclaimers and limitation of liability

The Services are provided "as is" without warranties beyond those required by law. To the maximum extent permitted by law, Corvex's total liability for any claim is limited to the fees you paid for the Services in the twelve months before the claim. We are not liable for indirect or consequential losses.

8. Termination

Either party may end an engagement as set out in the applicable agreement. On termination we will provide a reasonable export of your data. Unpaid fees remain due.

9. Governing law

These Terms are governed by the laws of India, and disputes are subject to the courts of Kanpur, Uttar Pradesh.

10. Changes

We may update these Terms from time to time; the current version will always be posted here with a revised "Last updated" date.
